TERMS OF SERVICE
Agreement for platform use

1. Acceptance of terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and CogniPulse Inc., a corporation registered in Ontario, Canada (BN 894736251ON0001), with its principal place of business at 55 Algoma Street South, Suite 302, Thunder Bay, ON P7B 3C2. By accessing cognipulse.life, submitting enquiries, enrolling in programmes or using the CogniPulse real-time AI inference platform, you agree to be bound by these Terms and our Privacy Policy.
If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree to these Terms, you must not use our website or services.
2. Description of services
CogniPulse provides a real-time artificial intelligence inference platform encompassing neural signal routing, edge serving layers, streaming model pipelines, production inference observability and related professional services including architecture review, pulse sandbox provisioning, signal routing sprints, pipeline cutover and governance framework setup. CogniPulse is an AI platform provider — not a marketing agency, web design studio, IT outsourcing firm or general consulting practice.
Specific service levels, deliverables and fees are defined in separate order forms, programme enrolment agreements or enterprise platform agreements that supplement these Terms.
3. Account registration and access
Access to the CogniPulse platform requires registration and acceptance of applicable platform agreements. You are responsible for maintaining the confidentiality of account credentials and for all activities under your account. You must notify us immediately of any unauthorised access at [email protected].
We reserve the right to suspend or terminate accounts that violate these Terms, engage in abusive behaviour or pose security risks to the platform or other users.
4. Acceptable use
You agree not to use the CogniPulse platform or website to:
- Violate applicable laws, regulations or third-party rights
- Deploy models or workloads that generate unlawful, harmful or discriminatory outputs without appropriate governance controls
- Attempt to gain unauthorised access to platform infrastructure, other accounts or third-party systems
- Interfere with platform availability, integrity or security through denial-of-service attacks, malware distribution or similar activities
- Reverse engineer, decompile or attempt to extract source code except as permitted by law
- Misrepresent your identity, affiliation or the nature of your use case
- Process personal information without lawful basis and appropriate data processing agreements
5. Intellectual property
All content on cognipulse.life, including text, graphics, logos, software and documentation, is owned by CogniPulse Inc. or its licensors and protected by Canadian and international intellectual property laws. You may not reproduce, distribute or create derivative works without prior written consent.
You retain ownership of models, data and configurations you deploy through the platform. You grant CogniPulse a limited licence to process your workloads solely to provide the contracted services. CogniPulse retains ownership of the platform, its underlying technology and aggregated anonymised analytics.
6. Fees and payment
Programme fees and professional service rates are quoted in Canadian dollars (C$) unless otherwise specified. Payment terms are net thirty days from invoice date for enterprise clients unless a different schedule is agreed in writing. Late payments may incur interest at the rate permitted under Ontario law. All fees are exclusive of applicable taxes unless stated otherwise.
7. Service levels and disclaimers
Platform availability targets and latency benchmarks are described in applicable service level agreements for enterprise clients. Illustrative metrics on our website (including median inference latency, pulse event volumes and uptime percentages) are representative examples and not guarantees for any specific deployment.
THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. COGNIPULSE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED SERVICE, ERROR-FREE OPERATION OR SPECIFIC INFERENCE LATENCY OUTCOMES.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY ONTARIO LAW, COGNIPULSE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE PLATFORM OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO COGNIPULSE IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) C$5,000.
9. Indemnification
You agree to indemnify and hold harmless CogniPulse Inc., its officers, directors, employees and agents from claims, damages, losses and expenses (including reasonable legal fees) arising from your use of the platform, violation of these Terms, infringement of third-party rights or unlawful processing of personal information through your deployed workloads.
10. Responsible AI obligations
You are responsible for configuring appropriate governance policies, human oversight mechanisms and compliance controls for your inference deployments. CogniPulse provides governance tooling but does not assume responsibility for decisions made by models you deploy or the regulatory compliance of your specific use cases.
11. Confidentiality
Each party agrees to protect the other's confidential information with reasonable care and use it only for purposes of the engagement. Confidential information does not include information that is publicly available, independently developed or rightfully received from third parties without restriction.
12. Termination
Either party may terminate programme enrolments or service engagements according to the terms of the applicable agreement. We may suspend or terminate website access or platform accounts immediately for material breach of these Terms. Upon termination, your right to access the platform ceases and we will handle your data according to our Privacy Policy and applicable data processing agreements.
13. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada. You waive any objection to venue in such courts.
14. General provisions
These Terms, together with applicable order forms and platform agreements, constitute the entire agreement between the parties. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right does not constitute a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger or sale of assets.
